1. Who we are and what these Terms cover
These Terms of Service("Terms") are a contract between you and Podyx Pte. Ltd., a companyincorporated in Singapore (UEN 202403560C), with its registered office at 160Robinson Road, #14-04, Singapore 068914 ("Podyx", "we","us", "our").
They govern your access to anduse of the Podyx platform, including our websites, web and mobile applications,the admin panel, the booking pages we host for you, and all related featuresand services (together, the "Services").
By creating an account, startinga free trial, or using the Services, you agree to these Terms, our PrivacyPolicy, and, where you process personal data of your own customers through theServices, our Data Processing Agreement ("DPA"). If you are agreeingon behalf of a business, you confirm you are authorised to bind that business,and "you" means that business.
If you do not agree to theseTerms, do not use the Services.
2. The Services
Podyx is a business operationsplatform for studios and other session-based spaces. You ("Studio")use the Services to configure rooms, setups, services, availability, pricing,packages and promotions, and to publish a booking page (for example,yourstudio.podyx.com) where your customers ("End Users") can viewavailability, book, and pay for sessions.
You manage your operation fromthe admin panel. End Users interact with your public booking page. Podyxprovides the software that connects the two. Podyx does not own, operate, ordeliver the studio services you sell to your End Users, and is not a party toany booking or transaction between you and an End User.
We may add, change, or removefeatures over time. Some features are described in product documentation, whichforms part of these Terms to the extent it sets rules for using a feature.
3. Eligibility and accounts
You must be at least eighteen(18) years old and able to form a binding contract to use the Services. Youagree to provide accurate, current, and complete information and to keep it upto date.
You are responsible for youraccount, for all activity under it, and for keeping your credentials secure.Notify us promptly at hello@podyx.com if you suspect any unauthorised use ofyour account.
4. Free trial
We offer a thirty (30) day freetrial with full platform access and no payment card required. One trial extensionof up to thirty (30) days is available per Studio at our discretion. At the endof the trial, you must select a paid plan to continue using the paid features.We do not charge for the trial period, and statutory cancellation rights thatmay apply to the trial do not result in a refund because no payment is taken.
5. Plans, fees, and billing (amounts you pay Podyx)
This Section 5 covers the feesyou pay to Podyx for the Services. It does not cover money that flowsbetween you and your End Users, which is dealt with in Section 6.
5.1 Plans and platform fees.Paid plans are billed monthly in advance. Current plans and pricing are shownin the Services at sign-up and may include a monthly subscription fee plus aplatform transaction fee on payments processed through your booking page, asset out at the point of purchase.
5.2 Auto-renewal. Paidplans renew automatically for successive periods equal to your current billingperiod until you cancel. By subscribing, you authorise us to charge yourpayment method on file for each renewal. You can cancel auto-renewal at anytime in the Services, effective at the end of the current billing period.
5.3 Taxes. Fees areexclusive of taxes. You are responsible for any applicable taxes, except taxeson our income. Where we are required to collect indirect taxes (such as GST orVAT), we will add them to your fees.
5.4 Failed payment andsuspension. If a payment fails, we allow a grace period of ten (10) daysbefore your account may be suspended. Suspension does not relieve you of feesdue.
5.5 Fee changes. We maychange our fees on reasonable advance notice through the Services. Changes arenot retroactive and take effect at your next renewal. If you do not accept achange, cancel before it takes effect.
5.6 Refunds of Podyx fees.Except where required by law or expressly stated, Podyx subscription andplatform fees are non-refundable, including for partial periods.
5.7 Chargebacks on Podyxfees. If you initiate a chargeback against a Podyx fee, we may suspend orterminate your account. Please contact us first so we can resolve any billingissue directly.
6. Payments between you and your End Users
6.1 You are the merchant ofrecord. When an End User pays for a booking, package, subscription, oradd-on through your booking page, that payment is a transaction between you andthe End User. You are the merchant of record. Podyx is not a party to it and isnot a payment processor or money transmitter.
6.2 Payment processors.End User payments are processed through third-party payment processors that youconnect to your account, currently Stripe (via Stripe Connect) and Square, andthrough any pay-later flow you enable. Your use of a payment processor isgoverned by that processor's own terms and privacy policy. You are responsiblefor opening, verifying, and maintaining your processor account and for the feesthat processor charges.
6.3 Refunds, cancellations,and disputes. You set and are solely responsible for your own pricing,taxes, cancellation, refund, and no-show policies toward your End Users, andfor handling refunds, partial refunds, credits, and chargebacks that arise frombookings. Podyx provides tools to support these actions but does not decide orfund them.
6.4 Studio commerce features.Features such as bundles, recurring subscriptions, promotional codes, storecredits, and add-ons are tools for you to sell to your End Users on terms youset. The contract for any such offering is between you and your End User. Youare responsible for honouring it and for its compliance with applicable law,including consumer and auto-renewal rules.
6.5 Your checkout terms.You are responsible for presenting your own booking terms and conditions to EndUsers at checkout. Podyx provides a field for this; the content is yours.
7. Your responsibilities and acceptable use
You agree to use the Serviceslawfully and only for legitimate business purposes. You will not, and will notallow anyone to: break the law or infringe others' rights; upload maliciouscode; attempt to gain unauthorised access to or disrupt the Services; scrape,reverse engineer, or resell the Services except as permitted; use the Servicesto send unlawful, deceptive, or unsolicited communications; or use the Servicesfor any activity we reasonably determine to be abusive, fraudulent, or harmful.
You are responsible for yourrelationship with your End Users, for the studio services you provide to them,and for the content and offers you publish through the Services.
8. Your content and data
8.1 Your content stays yours.You retain all rights to the content you upload, including images, video, text,branding, and the data you and your End Users enter ("StudioContent"). You grant us a worldwide, non-exclusive licence to host, store,reproduce, and display Studio Content only as needed to provide, secure,support, and improve the Services and as you direct (for example, displayingyour branding on your booking page).
8.2 Responsibility for yourcontent. You represent that you have the rights to your Studio Content andthat it does not infringe others' rights or break the law.
8.3 Personal data. Wherethe Services process personal data of your End Users, you are the controllerand Podyx is the processor. That processing is governed by our DPA, which isincorporated into these Terms. You are responsible for having a lawful basisand for giving your End Users any required notices and choices.
9. Our intellectual property
The Services, including allsoftware, design, text, and trademarks (excluding Studio Content), are owned byPodyx or our licensors and are protected by law. We grant you a limited,non-exclusive, non-transferable, revocable right to access and use the Servicesduring your subscription for your internal business purposes. You may not useour name or marks without our written permission. Any feedback you give us maybe used by us without restriction or obligation.
10. Third-party services and integrations
The Services integrate withthird-party tools you choose to connect, such as Google Calendar, Google Maps,Zapier, and your payment processors. Your use of those tools is governed bytheir own terms. We are not responsible for third-party services, and we do notcontrol their availability or data practices. Connecting them is at yourdiscretion.
11. Warranties and disclaimers
The Services are provided"as is" and "as available." To the fullest extent permittedby law, we disclaim all warranties, express or implied, includingmerchantability, fitness for a particular purpose, and non-infringement. We donot warrant that the Services will be uninterrupted, error-free, or secure, orthat they will meet your requirements. Some jurisdictions do not allow certaindisclaimers, in which case they apply to the maximum extent permitted.
12. Limitation of liability
To the fullest extent permittedby law, neither party is liable for indirect, incidental, special,consequential, or punitive damages, or for lost profits, revenue, data, orgoodwill. Each party's total aggregate liability arising out of or relating tothe Services and these Terms will not exceed the total fees you paid to Podyxin the twelve (12) months before the event giving rise to the claim. Nothing inthese Terms excludes liability that cannot be excluded by law.
13. Indemnity
You will indemnify and holdharmless Podyx and its officers, employees, and agents from claims, losses, andexpenses (including reasonable legal fees) arising from your use of the Services,your Studio Content, the studio services you provide to End Users, your offersand transactions with End Users, or your breach of these Terms or applicablelaw.
14. Term, suspension, and termination
14.1 Term. These Termsapply while you use the Services.
14.2 Your termination.You may cancel at any time in the Services. Cancellation stops future renewals;it does not entitle you to a refund of fees already paid.
14.3 Our suspension ortermination. We may suspend or terminate your access if you breach theseTerms or our acceptable use rules, if required by law, or to protect theServices or other users. We will give reasonable notice where practicable.
14.4 Effect of termination.On termination, your right to use the Services ends. We retain your data forone hundred and eighty (180) days after cancellation, during which you mayrequest export, after which it is permanently deleted, except where we mustretain it to meet a legal obligation or as described in our Privacy Policy andDPA. Sections that by their nature should survive termination will survive,including Sections 8, 9, 11, 12, 13, and 16.
15. Changes to these Terms
We may update these Terms fromtime to time. If a change materially reduces your rights, we will give youreasonable advance notice through the Services or by email and, where thechange is material, an opportunity to cancel before it takes effect. Continueduse after a change takes effect means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by thelaws of Singapore, without regard to conflict-of-law rules.
Any dispute arising out of or inconnection with these Terms, including any question about their existence,validity, or termination, will be referred to and finally resolved byarbitration administered by the Singapore International Arbitration Centre("SIAC") in accordance with the SIAC Rules in force at the time, withthe seat of arbitration in Singapore, the proceedings conducted in English, andthe dispute decided by one (1) arbitrator.
Despite the above, either partymay (a) bring a claim in a court of competent jurisdiction for amounts withinthat court's small-claims limit, and (b) seek urgent injunctive or equitablerelief, including to protect intellectual property or confidential information,in any court of competent jurisdiction.
17. General
These Terms, with the PrivacyPolicy and DPA, are the entire agreement between us about the Services. If anyprovision is unenforceable, the rest remains in effect. Our failure to enforcea right is not a waiver. You may not assign these Terms without our consent; wemay assign them to an affiliate or in connection with a merger, acquisition, orsale of assets. Notices to you may be given through the Services or by email;notices to us go to legal@podyx.com and to our registered address above.
